Important Notice

This website-hosted user interface (“Interface”) provides tools for tracking trades and calculating position sizes, with optional trade execution via the Hyperliquid protocol. YOUR USE OF THE INTERFACE AND ANY CONNECTED PROTOCOLS IS ENTIRELY AT YOUR OWN RISK.

1. Acceptance of Terms

By accessing or using PerpLog (“Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

PerpLog provides:

A trading journal for tracking cryptocurrency trades
Analytics and performance metrics
A position sizing calculator
Optional trade execution via the Hyperliquid decentralized exchange

When you execute trades through PerpLog, orders are submitted directly to the Hyperliquid blockchain. PerpLog acts as a frontend interface and does not custody your funds.

3. Geographic Restrictions

Restricted Jurisdictions

The trading features of this Service are NOT AVAILABLE to residents, citizens, or entities located in or incorporated in the following jurisdictions:

United States of America (all states and territories)
Canada (Ontario province)
Sanctioned territories: Cuba, Iran, Myanmar (Burma), North Korea, Syria
Russian-occupied regions of Ukraine (Crimea, Donetsk, Luhansk, Zaporizhzhia, Kherson)

These restrictions align with the jurisdictions restricted by Hyperliquid and applicable international sanctions (OFAC, EU restrictive measures).

3.1 Prohibition on Circumvention

You agree NOT to use virtual private networks (VPNs), proxy servers, or any other technology to mask your location or circumvent these geographic restrictions. Violation of this provision may result in immediate termination of access and potential legal consequences.

3.2 User Representation

By using the trading features, you represent and warrant that:

You are not a resident or citizen of a restricted jurisdiction
You are not accessing the Service from a restricted jurisdiction
You are not using any technology to mask your true location
You are of legal age in your jurisdiction to enter into this agreement

4. Risk Disclosure

Trading cryptocurrency derivatives involves substantial risk of loss. You should carefully consider whether trading is suitable for you in light of your financial condition.

Key risks include but are not limited to:

Market Risk: Cryptocurrency prices are highly volatile
Leverage Risk: Leveraged positions can result in losses exceeding your initial deposit
Liquidation Risk: Positions may be liquidated if margin requirements are not met
Smart Contract Risk: Bugs or exploits in smart contracts could result in loss of funds
Oracle Risk: Price oracles may fail or be manipulated
Regulatory Risk: Regulatory changes may affect your ability to use the Service
Technology Risk: Network congestion, bugs, or downtime may affect trade execution

5. Fees

PerpLog charges a platform fee of 0.01% (1 basis point) on trades executed through the Position Sizer. This fee is in addition to any fees charged by Hyperliquid.

Users who stake HYPE tokens on Hyperliquid receive a HYPE Staking Discount — the same percentage discount on PerpLog fees that they receive on Hyperliquid fees (up to 40% for Diamond tier).

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Merchantability or fitness for a particular purpose
Accuracy, reliability, or completeness of any information
Non-infringement of third-party rights
Uninterrupted or error-free operation
Security or freedom from viruses or harmful components

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERPLOG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or goodwill
Trading losses or failed transactions
Actions of third parties, including Hyperliquid
Any damages arising from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless PerpLog and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any applicable laws or regulations
Your violation of any third-party rights

9. Third-Party Services

The Service integrates with third-party services including but not limited to:

Hyperliquid: Decentralized exchange for trade execution
Wallet providers: For authentication and transaction signing

Your use of these third-party services is subject to their respective terms and privacy policies. PerpLog is not responsible for the actions or omissions of third-party service providers.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, without notice. Reasons for termination may include:

Violation of these Terms
Accessing the Service from a restricted jurisdiction
Fraudulent or illegal activity
Technical or security concerns

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PerpLog operates, without regard to conflict of law principles.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

BY USING PERPLOG, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. YOU ALSO ACKNOWLEDGE THAT YOU UNDERSTAND THE RISKS ASSOCIATED WITH CRYPTOCURRENCY TRADING AND ACCEPT FULL RESPONSIBILITY FOR YOUR TRADING DECISIONS.
